Scope of work Description of the role – Capital Raising
Business Review Review the business and current strategy and make recommendations regarding preparation for the Capital Raising to optimise outcome and ensure a smooth transaction process.
Capital Raising Strategy Planning including formulating the strategy, task allocation, agreeing timeline, identify targeted investor base to be approached.
Targeted Investor List Develop a list of relevant potential investors with investment experience and appetite including domestic and international investment funds, family investment offices and HNWs. Utilising PrimaryMarkets’ investor network and online platform.
Offering Documents Prepare offering documents including liaison with the client’slegal and accounting advisers where required.
Roadshows and Meetings Facilitate key management presentations and Q&A sessions for interested investors.
Negotiations Subject to client instructions, lead discussions and negotiations with investors.
Due Diligence Co-ordinate the due diligence and the Q&A process.
Other Advisers Coordinate other professional advisers involved (e.g. legal, tax, accounting etc).
Project Management Overall project management to facilitate timely completion.
Trading Hubs If required, establish a private trading system for securities to provide potential liquidity to shareholders.
